The *.mem file is the current OS file in your AUDYA's Hard Drive. This file (in your case AUDYA41.mem) needs to be deleted and replaced with the *.mem file found in the USB pen drive.
When copied, you must turn your AUDYA off, then on as you hold down F10 and UNPLUGGED to load the new OS which provides the new system files to install the new sounds.
If you don't install the OS file provided in the USB stick, you will have to manually install the Sound files and this could be a little complicated as it involves deleting current Sound parameter and data file first before replacing with those from the new USB pen.
The new OS includes functions that will assist you in installing the new Sounds from the USB pen drive.

Hey AJ , what do you think about Tony's idea of a vidio on u-tube for the pen drive install. It sure would be of great help to those of us that don't have alot of understanding of just what to do. Even though I'm not an Audya owner just yet I will be as soon as I can get one. It would be great if you could get that done. Thanks
